These Terms of Service apply to your access to and use of the SmartLink website and any services provided by Smart Link Limited ("SLL","SmartLink" “we,” “us,” or “our”) and any individual, organisation or entity (“User,” “you” or “your”). By accessing, engaging with, or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use any service provided by Smart Link Limited.
Smart Link Limited provides technology, integration, API, and development services that support motor industry and related workflows. Information published on this website is provided for general informational purposes only.
SmartLink may update these Terms from time to time. Updated Terms will be published on this page and take effect from the date of publication.
These Terms apply to any engagement with Smart Link Limited, including but not limited to enquiries, discussions, meetings, testing, access to systems, use of APIs, development work, or interaction with SmartLink services, whether formal or informal.
Where access credentials or system access are provided, you are responsible for maintaining confidentiality and for all activity that occurs under that access.
Initial consultations with Smartlink are provided at no charge and are limited to high-level discussions to assess potential engagement.
Any meetings, workshops, discussions, investigations, testing, or activities involving development tasks, technical work, integrations, or interaction with third-party systems are chargeable.
Chargeable work may be billed on a time and materials basis at rates of up to NZD 300 per hour, unless otherwise agreed in writing. Time spent testing or validating other systems forms part of chargeable work.
By engaging SmartLink, you agree to pay all fees and costs reasonably incurred, including third-party fees and pass-through costs. All fees are exclusive of GST unless stated otherwise.
Invoices are payable in accordance with the terms stated on the invoice. If no terms are stated, payment is due within 7 days of issue.
Interest may be charged on overdue amounts at a reasonable commercial rate. Unpaid amounts may be referred to a debt collection agency, and you are liable for all reasonable recovery costs.
All intellectual property rights in SmartLink systems, APIs, software, documentation, and materials are owned by Smart Link Limited or its licensors. No rights are granted except as expressly agreed in writing.
By engaging with Smart Link Limited, using SmartLink APIs, or interacting with any systems, integrations, or workflows facilitated by SmartLink, you acknowledge and agree that additional third-party terms and conditions may apply.
This includes, without limitation, the API Terms and Conditions and other applicable terms of Panel Quote. These terms apply regardless of whether SmartLink integrates with Panel Quote, Panel Quote integrates with SmartLink, or systems are accessed indirectly.
Panel Quote’s applicable terms and conditions can be obtained directly from Panel Quote. For further information, refer to www.panelquote.co.nz.
You may also be subject to the terms and conditions of insurers, suppliers, software providers, or other third parties whose systems you access or use. SmartLink is not responsible for providing copies of third-party terms.
Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, or employment relationship between you and SmartLink.
Personal information is handled in accordance with the SmartLink Privacy Policy.
The Services are provided on an “as is” and “as available” basis. SmartLink makes no warranties regarding availability, accuracy, or suitability for any purpose.
To the maximum extent permitted by law, SmartLink is not liable for any indirect, consequential, or economic loss arising from use of the Services.
Where liability cannot be excluded, SmartLink’s total liability is limited to fees paid in the 12 months preceding the claim.
SmartLink may suspend or terminate access to Services where required to protect systems, enforce these Terms, or comply with legal obligations.
These Terms are governed by the laws of New Zealand. The New Zealand courts have exclusive jurisdiction.
